A specialist lower-middle-market advisory and investment business

Crystal Zest works with business owners, investors and management teams across the business lifecycle — from formation and launch, through growth and operational improvement, to acquisition, valuation, transaction preparation and exit.

Our model combines commercial thinking, financial analysis, transaction support and practical business-building capability. Where appropriate, Crystal Zest may also evaluate opportunities for principal investment, acquisition or strategic partnership.

We do not simply advise on what a business could become. The work is built around understanding value, identifying risk, improving performance and helping clients execute the next step.

Transaction capability

Where we focus: approximately £50,000 to £2 million

We focus on smaller and lower-middle-market opportunities, including transactions and growth situations typically up to approximately £2 million in enterprise value or capital requirement, subject to mandate, complexity and the regulatory perimeter of each engagement.

At this size owners and investors usually need commercially practical support rather than a large investment-bank process — the same disciplines, delivered by a small team working directly with the people making the decision.

  • Sell-side advisory and business sale preparation
  • Buy-side advisory, sourcing and screening
  • Indicative valuation and financial modelling
  • Due diligence coordination and red-flag reporting
  • Deal structuring and negotiation support
  • Post-acquisition value-creation planning

This range describes our target focus. It is not a record of completed transaction volume.

How we create value

The same five steps, scaled to the size and urgency of the situation.

01

Diagnose

Understand the business, the objective and the constraints. Establish what is actually true about the numbers.

02

Value

Normalise earnings, apply the methods the evidence supports, and set out a range with its drivers.

03

Structure

Shape the transaction, the funding or the plan around the risks that were identified, not around a template.

04

Execute

Run the process, coordinate advisers, support negotiation and keep the timetable moving.

05

Grow

Deliver the value-creation plan and track it against measures the board can see.

Business Risk & Value Framework

Six dimensions that shape business quality, transaction readiness and the multiple a buyer may be prepared to pay. A multiple is not simply a number attached to an industry.

Financial Quality

Revenue trend, EBITDA, cash conversion, debt, working capital, quality of earnings

25%

Commercial Quality

Recurring revenue, customer concentration, contracts, pricing power, pipeline

20%

Operational Resilience

Processes, systems, supplier dependency, capacity, scalability

15%

Management & People

Key-person risk, second-line management, retention, capability

15%

Compliance & Governance

Licences, policies, corporate records, disputes, governance

15%

Transaction Readiness

Data room, accounts, contracts, tax records, ownership clarity

10%

Indicative weightings. The output is expressed as a risk and readiness view that informs professional judgement about an indicative valuation range. It does not mechanically set a multiple.

Selected investment criteria

Crystal Zest may selectively evaluate opportunities to invest its own or group capital where there is a credible route to growth, operational improvement or strategic value creation.

  • Understandable business model
  • Evidence of demand
  • Clear route to sustainable cash flow
  • Opportunity for measurable improvement
  • Reasonable entry valuation
  • Manageable regulatory and operational risk
  • Capable management, or a credible management solution
  • Potential for eventual refinance, dividend yield or exit
